Important Notice These Terms of Service outline the general policies and expectations for working with YourWebGuy.net. They are not a substitute for a formal service agreement or contract. Individual client engagements are governed by the specific agreement signed between the client and Your Web Guy.

1. Agreement to Terms

By engaging YourWebGuy.net for services, accessing our website, or using any of our deliverables, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

These terms apply to all clients, website visitors, and anyone who interacts with services provided by Your Web Guy.

2. Services Description

Your Web Guy, operating as YourWebGuy.net, is an internet marketing agency founded in 2005 and based in Port St. Lucie, Florida. We provide the following services:

  • Website Design & Redesign
  • Search Engine Optimization (SEO)
  • Generative Engine Optimization (GEO)
  • Google Ads Management
  • Reputation & Review Management
  • Website & Marketing Audits

The specific scope of work for each engagement is defined in individual service agreements between Your Web Guy and the client.

3. Client Responsibilities

Clients agree to the following responsibilities:

  • Provide timely access to accounts, assets, and information necessary for service delivery
  • Review and approve deliverables promptly
  • Provide accurate business information, branding materials, and content
  • Communicate promptly regarding questions, requests, and approvals
  • Maintain active accounts with third-party platforms (hosting, domain registrar, advertising platforms, etc.)
  • Comply with all applicable local, state, and federal laws

Delays in meeting these responsibilities may impact project timelines and deliverable schedules.

4. Payment Terms

Your Web Guy offers monthly recurring service plans, including Starter, Growth, Accelerator, and Custom tiers. Services are billed monthly unless otherwise specified in the service agreement.

  • Payment is due per the schedule outlined in the client's individual service agreement.
  • Late payments may result in a pause or suspension of services until the account is brought current.
  • One-time projects (website builds, audits, etc.) may have separate payment schedules as defined in the project agreement.

No long-term lock-in — we earn your business every month.

5. Intellectual Property & Ownership

"Your Website, Your Data, Your Accounts. Always."

This is a core principle of how we do business. Our clients own their digital assets — full stop.

What You Own

  • Your website — including design, content, code, images, and all files
  • All original content created for you, upon full payment
  • All third-party accounts — we set up every account under client ownership with full admin access granted to you
  • All business data — analytics data, campaign data, reporting, customer information, and any other data generated through our services

Full Portability

If our engagement ends for any reason, we provide an orderly transition of all assets, accounts, and data. We never hold websites, data, or accounts hostage.

What We Retain

YourWebGuy.net retains ownership of proprietary tools, internal processes, templates, and methodologies used in the delivery of services. These are not transferred to the client.

6. Third-Party Services

Our work frequently involves third-party platforms and services, including but not limited to Google (Ads, Analytics, Search Console, Business Profile), Meta (Facebook, Instagram), hosting providers, domain registrars, review platforms, and CMS platforms.

  • Each third-party service has its own terms of service and pricing, which are outside our control.
  • We will advise you of any significant changes to third-party services that may affect your account or campaigns.
  • Third-party fees — including advertising spend, hosting costs, domain registrations, and software licenses — are the client's responsibility and are separate from Your Web Guy's service fees.

7. SMS & Text Message Terms

Text Message Opt-In Disclosure — TCPA Compliance

Consent

By opting in to receive text messages from YourWebGuy.net, you consent to receive recurring automated marketing and informational text messages, including promotional offers, service updates, appointment reminders, and tips, at the phone number you provide. Consent is not a condition of purchase.

Message Frequency

Message frequency varies. You may receive up to 10 messages per month.

Message & Data Rates

Message and data rates may apply. Check with your wireless carrier for details about your text messaging plan.

Opt-Out

You may opt out at any time by replying STOP to any message. After opting out, you will receive a final confirmation message and will no longer receive text messages from us unless you re-subscribe.

Carriers

Carriers are not liable for delayed or undelivered messages.

Privacy

We will not sell, rent, or share your phone number with third parties for marketing purposes. Your information is used solely for the purposes described in these terms.

Eligibility

By opting in, you confirm that you are at least 18 years old, the subscriber or authorized user of the phone number provided, and a resident of the United States.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement.

  • Your Web Guy will not share client information with third parties except as necessary to perform the agreed-upon services.
  • Clients agree not to share our proprietary processes, strategies, or methodologies with competing agencies or consultants.
  • Confidentiality obligations survive the termination of the service relationship.

We may reference the general nature of work performed (e.g., "website design for a local business") in our portfolio or case studies. Use of a specific client name, logo, or identifying details in marketing materials requires written permission from the client.

9. Limitation of Liability

Digital marketing involves many variables outside any agency's control. While we apply proven strategies and best practices to every engagement, we do not guarantee specific results, including search engine rankings, website traffic, lead volume, or revenue outcomes.

Liability Cap

Your Web Guy's total liability for any claim arising from our services is limited to the total fees paid by the client in the three (3) months immediately preceding the event giving rise to the claim.

Exclusions

Your Web Guy is not liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Lost revenue, profits, or data
  • Changes to third-party platforms, algorithms, or policies (e.g., Google algorithm updates)
  • Results impacted by inaccurate information provided by the client
  • Events beyond reasonable control (force majeure), including natural disasters, pandemics, internet outages, or government actions

10. Termination

Termination by Client

Clients may terminate services per the notice period outlined in their individual service agreement. Upon termination:

  • Any outstanding balance is due in full.
  • An orderly transition of all accounts, assets, and data will be conducted.
  • Your Web Guy will remove its administrative access from all client accounts.

Termination by Your Web Guy

Your Web Guy reserves the right to terminate services in the following circumstances:

  • Payment is significantly overdue
  • The client engages in or requests unlawful or unethical activities
  • Repeated failure to cooperate or meet client responsibilities as outlined in Section 3
  • Continuing the engagement would violate applicable law or our internal policies

Reasonable notice will be provided whenever possible.

Post-Termination

Our ownership commitment (Section 5) applies regardless of how or why the engagement ends. Your website, data, and accounts remain yours.

11. Dispute Resolution

These Terms of Service are governed by the laws of the State of Florida.

In the event of a dispute, the parties agree to the following resolution process:

  1. Informal Resolution — Both parties will first attempt to resolve the dispute through good-faith discussion.
  2. Mediation — If informal resolution is unsuccessful, the parties agree to attempt mediation before pursuing litigation.
  3. Jurisdiction — Any legal proceedings shall be filed in the courts of St. Lucie County, Florida.

Analytics & Cookies
